This Subscription, Refund, and Cancellation Agreement (“Agreement”) is between NinthMoon AI LLC, a Delaware limited liability company with its registered office at 8 The Green, Ste A, Dover, DE 19901 (“NinthMoon,” “we,” “us,” or “our”), and you, the user who subscribes to our Services. By subscribing, you accept this Agreement and our other policies.

1. Plans and Features

We offer a Free Plan and an Essential Plan (Monthly or Yearly). Current plan features and limits include:

Daily chat messages: Free — 10 per day; Essential — Unlimited (fair-use cap — see Section 4)
Daily mood check-ins: Free — 1 per day; Essential — Unlimited
AI reminders/notifications: Free — Not included; Essential — Included
Document generation: Free — None; Essential — Up to 10 per month
Image generation: Free — None; Essential — Up to 5 per month
Voice mode: Free — Limited; Essential — Unlimited
Journaling: Free — Included; Essential — Included
Community access: Free — Included; Essential — Included

Daily limits reset at midnight UTC. Features and limits may change; the in-app description at the time of purchase controls.

2. Pricing

Subscription prices are those displayed in the Apple App Store or Google Play at the time of purchase, and may vary by region and currency. We do not set prices in the app itself; the store listing is the source of truth.

All subscriptions to the Essential Plan are processed via in-app purchases and billed securely through your Apple iTunes or Google Play account. Payment will be charged to your store account at the confirmation of purchase. Your subscription will automatically renew at the current plan price unless auto-renew is turned off or cancelled at least twenty-four (24) hours before the end of the current billing period. Your store account will be charged for renewal within 24 hours prior to the end of the current period.

3. Free Trial

New Essential subscribers may receive a 7-day free trial, during which no fee is charged. Trial availability and terms are at our discretion and may change. If you do not cancel before the trial ends, the subscription automatically converts to a paid plan and the applicable fee is charged by the store.

4. Fair-Use on “Unlimited” Chat

The Essential Plan is offered as unlimited chat, subject to a fair-use system to protect service quality: a gentle warning around 150 messages/day, a soft notice around 200/day, and a hard limit at 500 messages/day, after which messaging resumes at the next midnight-UTC reset.

Note: The Essential Plan provides unlimited conversational interactions with Nimo for genuine, personal human wellness use. To safeguard platform performance, API cost stability, and server availability, we enforce a Fair-Use Policy. "Unlimited" access strictly excludes automated querying, bot deployments, script execution, account sharing, or continuous text generation that exceeds reasonable human capacity. If our system detects rapid, automated API abuse originating from your account, we reserve the right to temporarily throttle or suspend your access to protect the service infrastructure.

5. Emotional Grace (Safety Feature)

If a Free Plan user reaches the daily message limit while expressing emotional distress, our system grants a small number of additional “grace” messages so a user in distress is not cut off mid-conversation. This is a wellbeing safeguard, not part of the paid entitlement, and may change.

6. Payment — Handled by the App Stores

Payments are processed exclusively through the Apple App Store (iOS) and Google Play (Android). NinthMoon does not collect or store your card or payment details. The store is the source of truth for your entitlement. All billing, renewals, cancellations, and refunds are governed by the respective store’s policies and terms.

7. Auto-Renewal and Subscription States

Unless canceled before the end of the current term, your subscription renews automatically at the then-current store price. Renewals and reminders are managed by the store. Subscription states tracked include active, trial, canceled-but-active-until-period-end, billing-retry grace period, paused, and on-hold; these are driven by the store’s notifications.

8. Plan Changes

Upgrades take effect immediately (charged by the store on its terms); downgrades take effect at the end of the current billing cycle. If a store-side payment fails, the store follows its standard retry/grace procedures, which may suspend or end access.

9. Refunds

All payments are processed by the Apple App Store or Google Play and are subject to their refund policies. NinthMoon does not process refunds directly; refund requests must be made to the applicable store. Except where required by the store’s policy or applicable law, refunds are generally not provided for voluntary cancellation after use, termination for your breach, temporary disruptions, or promotional/trial purchases.

10. Cancellation

You may cancel anytime in your Apple App Store or Google Play subscription settings. Cancellation stops future renewals; access continues until the end of the current paid or trial period, after which it reverts to the Free Plan. Timing of cancellation is controlled by the store.

11. Data After Cancellation or Deletion

Cancelling a subscription does not delete your account. If you choose to delete your account, your data is erased following the 14-day account-deletion process described in our Privacy Policy.

12. Liability; Governing Law

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NINTHMOON’S TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THIS AGREEMENT SHALL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE TOTAL FEES PAID BY YOU TO NINTHMOON IN THE THREE (3) MONTHS PRIOR TO THE CLAIM. IN NO EVENT WILL NINTHMOON BE LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES. This Agreement is governed by the laws of the State of Delaware, and the courts located in Delaware have exclusive jurisdiction.
